Summary

Third Parties and Non-Debtors after the Supreme Court’s decision in Purdue Pharma.
The Supreme Court in Harrington v. Purdue Pharma L.P., 603 U.S. ---, 144 S.Ct. 2071 (2024), held that non-consensual third party releases are not authorized by the Bankruptcy Code in chapter 11 plans of reorganization. This presentation will discuss the Purdue Pharma holding and its impact on third-party releases, both non-consensual and consensual. It will also discuss and distinguish full-satisfaction non-debtor releases and exculpation provisions. Finally, this presentation will discuss case law and scenarios surrounding chapter 13 plans that attempt to address debts of related non-debtor businesses.
