About the Course:
The valuation of a business can be a complex process, requiring certified business valuation and forensic accounting professionals.
This session takes a dive into the process and methodologies used in a valuation and situations that give rise to valuation services such as estate/tax planning, ESOP annual valuation, M&A transactions, GAAP/ financial reporting, family law marital dissolution, buy-sell disputes, commercial litigation, and other litigation and financial advisory situations. In other words, the “Why?” and “How?” of business valuation.

About the Speakers:
Karolina Calhoun, CPA/ABV/CFF, Vice President at Mercer Capital
Karolina Calhoun has been involved with hundreds of valuation and litigation support engagements in a diverse range of industries on local, national, and international levels. Prior to joining Mercer Capital, Karolina was a Senior Auditor at EY Memphis in their Audit and Assurance Services practice. As a member of the firm’s Litigation Group, she provides valuation and forensics services for family law, gift & estate planning, commercial litigation, transactions (M&A), and further matters related to privately held businesses, dissenting shareholders, intellectual property, personal goodwill, etc. With her forensics accreditation, she provides economic and financial damages studies, asset tracing, lost profits, and lifestyle analysis.
Karolina also provides advisory services related to mergers & acquisitions, intangible assets, private equity portfolio companies, contractual agreements, and complex capital structures. These engagements have been conducted for the purposes of mergers and acquisitions, buyouts, financial reporting, estate and gift taxes, allocation of purchase price, litigation support, shareholder dissent, buy-sell agreements, dissolutions, financing, and business planning.
Karolina is involved with the national forensics and valuation community, serving as the Valuation Chair of the AICPA’s Forensic and Valuation Services Conference planning committee. She was named one of 26 young CPAs to receive the 2018 Forensic and Valuation Services (FVS) Standing Ovation award, presented by the AICPA to professionals for significant contributions in their accounting specialty areas and in their communities. She is also the President of the Memphis Chapter of TSCPAs.
David W. R. Harkins, Financial Analyst at Mercer Capital
David Harkins is a financial analyst with Mercer Capital. David has valuation experience in engagements related to corporate planning and reorganizations, fairness opinions, litigation support, employee stock ownership plans, and estate and gift tax planning and compliance matters. He has provided valuation services to companies across a variety of industries and has considerable experience working with upstream oil and gas companies, as well as auto dealers.
Along with Mercer Capital’s Energy group, David publishes research on valuation issues related to the oil and gas industry in the newsletter Value Focus: Exploration & Production. He also contributes regularly to Mercer Capital’s Energy Valuation Insights blog.
In addition, David has successfully completed all three levels of the Chartered Financial Analyst (The CFA Institute) exam and will receive the charter upon completion of the required work experience.
